These Terms of Service (the "Terms") form a binding agreement between you, or the entity you represent ("you", "Customer"), and Vorpcel ("Vorpcel", "we", "us", "our"), governing your access to and use of our products and services. By creating an account, starting a trial, clicking "subscribe", or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Notice and Refund Policy. If you do not agree, you must not use the Service. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

1. Agreement to terms

These Terms apply to all visitors, users, and others who access or use the Service. Additional terms may apply to specific features, plans, or promotions; where they do, those terms are incorporated by reference and, in case of conflict, control over these Terms for that feature. We may make order forms, plan descriptions, or documentation available; together with these Terms they constitute the entire agreement between you and Vorpcel regarding the Service.

2. Definitions

  • Service means Vorpcel's Web Application Firewall ("WAF"), Web Application Scanner ("Scanner"), control dashboard, APIs, websites, and any related software, content, and support we provide.
  • Customer Data means data, configurations, domains, origins, and content you submit to or generate through the Service.
  • Protected Asset means any domain, application, endpoint, or origin you connect to the WAF or submit to the Scanner.
  • Subscription means a paid plan billed on a recurring basis.

3. The service

Vorpcel provides cloud-based application security. The WAF inspects and filters traffic to your Protected Assets to detect and mitigate threats; the Scanner performs automated assessments to surface potential vulnerabilities. The specific capabilities, limits, and layers available to you depend on the plan you subscribe to. The Service is provided on a software-as-a-service basis: you access it over the internet, and we host and maintain the underlying infrastructure. We may improve, add, or remove features over time, and will use reasonable efforts to avoid materially degrading core functionality of a paid plan during its term.

4. Eligibility & accounts

To use the Service you must be at least 18 years old and able to form a binding contract. You agree to provide accurate, current, and complete information during registration and to keep it updated. You are responsible for safeguarding your credentials and for all activity that occurs under your account, whether or not authorized by you. You must notify us promptly of any unauthorized use or suspected breach of security. We are not liable for losses arising from your failure to maintain the confidentiality of your account.

5. Authorization to protect & scan

You represent and warrant that you own, or are explicitly authorized to secure and test, every Protected Asset you connect to the Service. You must not point the WAF at, or run the Scanner against, any domain, application, system, or network that you do not own or for which you lack written authorization. Automated scanning of third-party systems without permission may be unlawful. You are solely responsible for obtaining all necessary consents and authorizations, and you will indemnify Vorpcel against claims arising from your use of the Service on assets you were not authorized to protect or test.

6. Acceptable use

You agree not to, and not to permit any third party to:

  • use the Service to violate any applicable law, regulation, or third-party right;
  • attack, scan, probe, or attempt to gain unauthorized access to any system you do not control;
  • interfere with or disrupt the integrity or performance of the Service, or attempt to circumvent its usage limits, rate limits, or security measures;
  • reverse engineer, decompile, or attempt to extract the source code or detection logic of the Service, except to the extent permitted by law;
  • resell, sublicense, or provide the Service to third parties except as expressly permitted by your plan;
  • upload or transmit malware, or use the Service to store or transmit unlawful, infringing, or harmful content;
  • use the Service to build a competing product or to benchmark it for a competitor without our consent.

We may investigate suspected violations and may suspend or restrict access where activity threatens the Service, our infrastructure, or other customers.

7. Plans, trials & changes

We may offer free trials, paid monthly plans, and paid annual plans. Trials are provided "as is" for evaluation and may be limited in features, capacity, or duration; we may modify or discontinue trials at any time. Feature availability, quotas, and SLAs are determined by your active plan. We may change plan compositions or introduce new plans; changes affecting your current paid term will not reduce the core functionality you paid for without notice.

8. Fees, billing & payments

Paid plans are billed in advance on a recurring monthly or annual basis and renew automatically until cancelled. Payments are processed securely through our third-party payment provider, which may act as the merchant of record for your purchase. The provider handles payment processing, invoicing, currency conversion, and the collection and remittance of applicable taxes (such as VAT or sales tax) based on your billing location. Prices are displayed in U.S. dollars unless stated otherwise and exclude taxes unless indicated. By subscribing, you authorize the recurring charge to your selected payment method. If a payment fails, we or our payment provider may retry the charge and may suspend the Service until payment is resolved. We may change prices; price changes apply to renewals after reasonable notice, and your continued use after a change takes effect constitutes acceptance.

9. Cancellation & refunds

You may cancel your Subscription at any time from your dashboard or billing portal. Cancellation stops future renewals; your access continues until the end of the billing period already paid for, and the Service is not pro-rated for partial periods unless required by law. Refunds, where available, are governed by our Refund Policy.

10. Customer data & responsibilities

As between the parties, you retain all rights in your Customer Data. You grant Vorpcel a worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely to provide, secure, and improve the Service and as otherwise described in our Privacy Notice. You are responsible for the accuracy and legality of your Customer Data and for maintaining your own backups where appropriate. You are responsible for configuring the Service correctly for your environment, including WAF policies and scan targets; security outcomes depend in part on your configuration choices.

11. Intellectual property

The Service, including all software, models, detection rules, user interfaces, text, graphics, and trademarks, is and remains the exclusive property of Vorpcel and its licensors, protected by intellectual property laws. Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your subscription for your internal business purposes. No rights are granted except as expressly stated. Feedback you provide may be used by us without restriction or obligation to you.

12. Third-party services

The Service integrates with third-party providers for payments, infrastructure, analytics, and communication. Your use of those services may be subject to their own terms and policies. We are not responsible for the acts, omissions, content, or policies of third parties, and integration with a third-party service does not constitute an endorsement.

13. Availability & support

We strive to keep the Service available and performant, and our edge infrastructure is designed to process requests with minimal latency. However, the Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control. Any service-level commitments, if applicable, are those stated in your plan. Support channels and response targets depend on your plan.

14. Warranties & disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Vorpcel disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. No security product can guarantee detection or prevention of all threats, the discovery of all vulnerabilities, or uninterrupted operation. You acknowledge that the Service is one component of a broader security program and does not replace your own diligence, controls, and judgment.

15. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to these Terms or the Service, even if advised of the possibility. To the maximum extent permitted by law, Vorpcel's total aggregate liability for all claims arising out of or relating to the Service will not exceed the amounts you actually paid for the Vorpcel Service in the twelve (12) months immediately preceding the event giving rise to the claim. These limitations apply regardless of the theory of liability and form an essential basis of the bargain.

16. Indemnification

You will defend, indemnify, and hold harmless Vorpcel and its officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) your Customer Data or Protected Assets; (c) your scanning or protection of assets you were not authorized to access; or (d) your violation of any law or third-party right.

17. Suspension & termination

You may stop using the Service and terminate your account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, fail to pay amounts due, or if your use poses a risk to the Service or others. Upon termination, your right to use the Service ceases. Sections that by their nature should survive termination (including ownership, disclaimers, limitations of liability, indemnification, and governing law) will survive.

18. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms; if you do not agree, you must stop using the Service.

19. Governing law & disputes

These Terms are governed by the laws of the jurisdiction in which Vorpcel is established, without regard to conflict-of-laws principles. You agree to first attempt to resolve any dispute informally by contacting us. If a dispute cannot be resolved informally, it will be subject to the exclusive jurisdiction of the competent courts of that jurisdiction, except where applicable consumer-protection law grants you the right to bring proceedings in your place of residence. Nothing here limits any mandatory statutory rights you may have as a consumer.

20. General

  • Assignment. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Severability. If any provision is found unenforceable, the remaining provisions remain in full force.
  • No waiver. Failure to enforce a provision is not a waiver of our right to do so later.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
  • Entire agreement. These Terms, together with the Privacy Notice and Refund Policy, constitute the entire agreement and supersede prior understandings on the subject.
